Happy Dogs, Inc. (“Happy Dogs”) is the copyright owner of the websites known as “happydogsnyc.com” and the related website known as the “Happy Dogs Member Website” (the “Sites”).  No portion of the Sites including, without limitation, the content from the live camera video, and any other text, images, audio, or video from the Sites or as transmitted via any platform, including, without limitations, social media, multimedia platforms, apps, etc., may be used, reproduced, edited, manipulated, modified, uploaded or posted on the World Wide Web or otherwise disseminated to any third-party in any manner, or for any purpose, without Happy Dogs’ express prior written permission.

All materials on this Sites, including, but not limited to, the content of the live camera video, and all other text, images, audio, or video clips (the “Content”), are protected by copyright under U.S. copyright law, international conventions, and other copyright laws.

Any unauthorized use of the content of the live camera video or any other Content by You (or anyone you shared the password to any Content with) shall violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes and will give rise to a claim by Happy Dogs against You for substantial monetary damages, which shall be in an amount of no less than $10,000.00 (which You expressly agree shall constitute a fair and reasonable minimum amount of compensation for Happy Dogs’ damages for any unauthorized use of the Content, and may subject you to criminal charges.

Further, You acknowledge and agree that Happy Dogs would be irreparably damaged if any of the provisions of this paragraph are not performed in accordance with their terms, and that your breach could not be adequately compensated in all cases by monetary damages alone.

Accordingly, in addition to any other right or remedy which Happy Dogs may have, Happy Dogs shall be entitled to enforce any provision of this paragraph by a decree of specific performance and to temporary, preliminary and permanent injunctive relief to prevent breaches or threatened breaches, without posting any bond or other undertaking in accordance with the laws of the State of New York.
